These Terms of Service ("Terms") govern your access to and use of the website nuvesleep.com (the "Site"), including any purchases made through the Site and any related services provided by Nuve.

Nuve offers consumer products, including products related to sleep, comfort, wellness, and lifestyle.

We make reasonable efforts to display product descriptions, photographs, dimensions, colors, materials, and other information as accurately as possible. However, the actual appearance of a product may vary slightly due to manufacturing variations, screen settings, photography, or other factors.

We do not guarantee that every product description, photograph, price, or other piece of information on the Site will always be completely accurate, current, or error-free.

If we discover a material error relating to an order, we may contact you to correct the issue or, where appropriate, cancel and refund the affected order.

3. ORDERS

By placing an order through the Site, you are making an offer to purchase the selected products subject to these Terms.

We reserve the right to accept or decline an order, subject to applicable law.

We may cancel or limit an order when reasonably necessary, including in cases involving:

suspected fraud or unauthorized transactions;
incorrect pricing or product information;
product unavailability;
suspected resale or commercial misuse;
payment authorization issues;
violations of these Terms; or
technical or operational errors.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method, except where otherwise permitted or required by law.

An order confirmation does not necessarily constitute final acceptance of an order.

promotions cannot be combined;
promotional codes have no cash value;

Our products and content are not intended to diagnose, treat, cure, or prevent any disease or medical condition unless expressly stated and legally authorized.

Nothing on the Site should be considered medical advice or a substitute for advice, diagnosis, or treatment from a qualified healthcare professional.

Individual experiences and results may vary.

All content available through the Site, including but not limited to:

trademarks;
logos;
product names;
photographs;
videos;
graphics;
designs;
text;
advertising materials;
product descriptions;
website layouts; and
other original content

is owned by or licensed to METABOFIT LC and is protected by applicable intellectual property laws.

You may access and use the Site for your personal, non-commercial use.

You may not reproduce, distribute, modify, copy, sell, license, scrape, republish, commercially exploit, or create derivative works from our content without our prior written permission, except where permitted by law.

13. NUVE TRADEMARKS

"Nuve," our logos, branding, slogans, product names, and other brand identifiers may constitute trademarks or other protected intellectual property of METABOFIT LC.

Nothing in these Terms grants you any right or license to use our trademarks or branding without our prior written consent.

14. USER CONTENT AND REVIEWS

If you submit a review, testimonial, photograph, video, comment, feedback, or other content to us or through the Site ("User Content"), you represent that you have the right to submit that content.

You must not submit content that is unlawful, fraudulent, defamatory, infringing, threatening, obscene, deceptive, or that violates the rights of another person.

To the extent permitted by law, by submitting User Content to us, you grant METABOFIT LC a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, adapt, and publish that content for purposes related to operating, promoting, and improving Nuve and our products.

Where required by applicable law, we will disclose material connections associated with incentivized reviews or testimonials.

15. PROHIBITED USES

You may not use the Site:

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY US OR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED, METABOFIT LC DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

19. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, METABOFIT LC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, SERVICES, OR PRODUCTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

Because certain states do not permit some exclusions or limitations of damages, some of the limitations above may not apply to you.

20. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless METABOFIT LC and its affiliates, officers, employees, contractors, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful misuse of the Site, your violation of these Terms, or your infringement of another person's rights.

This provision does not require a consumer to indemnify us for our own unlawful conduct, negligence, or other liability that cannot lawfully be shifted to the consumer.

By using the Site, you acknowledge that you have had an opportunity to review our Privacy Policy.

These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, except to the extent that applicable federal law or mandatory consumer-protection law requires otherwise.

Nothing in these Terms deprives a consumer of protections that cannot lawfully be waived under the laws applicable to that consumer.

26. DISPUTE RESOLUTION AND JURISDICTION

Before commencing formal legal proceedings, you and METABOFIT LC agree to make a reasonable good-faith effort to resolve the dispute informally.

You may contact us using the contact information provided on the Site and describe the nature of your dispute and the resolution you are requesting.

If a dispute cannot be resolved informally, and unless applicable law provides otherwise, the parties agree that disputes may be brought before a court of competent jurisdiction in Wyoming.

Nothing in this section prevents either party from bringing an eligible claim in small claims court or exercising rights that cannot legally be waived.

27. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in full force and effect.

28. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

29. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and any other policies expressly incorporated by reference, constitute the agreement between you and METABOFIT LC regarding your use of the Site and purchases made through it.

30. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our products, services, business practices, or applicable laws.

The updated version will be posted on this page with a revised "Last Updated" date.

Changes will apply prospectively unless applicable law permits or requires otherwise.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
